Terms of Service

1. Acceptance of Terms

By accessing or using the InvestFlow platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Platform. These Terms constitute a legally binding agreement between you and InvestFlow Limited ("Company", "we", "us").

2. Eligibility

To use the Platform, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding agreements
• Complete our Know Your Customer (KYC) verification process
• Not be a resident of a jurisdiction where use of the Platform is prohibited
• Not have been previously suspended or removed from the Platform

3. Account Registration

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials, including passwords and two-factor authentication methods. You are liable for all activities that occur under your account.

You agree to notify us immediately at security@investflow.co.ke of any unauthorised access or security breach.

4. Investment Services

4.1 Nature of Service

InvestFlow provides a technology platform that connects investors with investment opportunities across various sectors. We facilitate the investment process but do not provide personalised financial advice, portfolio management, or act as a broker-dealer.

4.2 Investment Risks

All investments carry risk, including the potential loss of your entire investment. Past performance is not indicative of future results. You acknowledge that:

• Investment values may fluctuate and you may receive back less than you invested
• Returns are not guaranteed and projections are estimates only
• Investments may be illiquid and difficult to sell before maturity
• You have read and understood the risk disclosures for each investment

4.3 No Advisory Relationship

Information provided on the Platform is for informational purposes only and does not constitute investment advice, financial advice, trading advice, or any other sort of advice. You should conduct your own due diligence and consult with qualified professionals before making investment decisions.

5. Payments & Fees

All payments are processed through our integrated payment providers (M-Pesa, Stripe, bank transfer). Fees, if any, are disclosed before you confirm a transaction. Payment provider fees (e.g., M-Pesa transaction charges) are passed through and are not set by InvestFlow.

Performance fees, typically 15–25% of profits above the hurdle rate, are deducted automatically upon distribution. The specific fee structure is disclosed in each project's offering documents.

6. Intellectual Property

All content, trademarks, logos, software, and materials on the Platform are owned by or licensed to InvestFlow. You may not copy, modify, distribute, sell, or lease any part of our Platform without prior written consent.

7. Prohibited Activities

You agree not to:

• Use the Platform for money laundering, terrorism financing, or other illegal activities
• Provide false or misleading information
• Interfere with or disrupt the Platform's infrastructure
• Attempt to gain unauthorised access to other users' accounts
• Engage in market manipulation or fraudulent activity
• Use automated bots, scrapers, or similar tools without authorisation

8. Limitation of Liability

To the maximum extent permitted by law, InvestFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform. Our total liability for any claim shall not exceed the amount of fees you have paid to us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless InvestFlow, its directors, officers, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

10. Termination

We may suspend or terminate your account at any time for violation of these Terms, suspicious activity, or regulatory requirements. You may close your account by contacting support, provided you have no active investments and your wallet balance is zero. Upon termination, provisions relating to intellectual property, limitation of liability, and indemnification survive.

11. Dispute Resolution

Any disputes arising from these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the Nairobi Centre for International Arbitration (NCIA). The seat of arbitration shall be Nairobi, Kenya, and proceedings shall be conducted in English.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya, without regard to conflict of law principles.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via email and/or a prominent notice on the Platform at least 14 days before taking effect. Your continued use of the Platform after changes constitutes acceptance.
